The Health, Safety and Environment Committee (“Committee”) of the Board of Directors of Albemarle Corporation (“Company”) assists the Board of Directors in fulfilling its oversight responsibilities by assessing the effectiveness of the Company’s health, safety and environment programs and initiatives.

The Committee shall review and oversee:

  • Status of the Company’s health, environmental, and personnel and process safety policies and performance, including activities designed to assure compliance with applicable laws and regulations.

  • Emerging health, safety and environmental issues and the potential impact on the Company.

  • Product stewardship practices and use of good science to manage product risks including the safe manufacture, distribution, use and disposal of products.

  • Progress toward meeting long-term health, safety, and emissions targets.

The Committee shall consist of at least three directors. The Board of Directors will designate the Chairman. A majority of the members shall constitute a quorum of the Committee. Committee members shall continue to act until their successors are appointed by the Board and shall be subject to removal at any time by a majority of the Board.

The Committee shall meet at least three times per year.

The Committee shall annually review and revise the committee charter, conduct a self-evaluation, and recommend amendments as appropriate. The Committee shall report regularly to the Board on Committee findings, recommendations and any other matters the Committee deems appropriate or that the Board requests.
